7. No Guarantee of Results

10. Fees, Billing, and Payments
Certain Services are offered on a paid subscription or one-time purchase basis.
By purchasing any Service, you agree to pay all applicable fees displayed at the time of purchase.
Prices are listed in the currency specified during checkout and may include applicable taxes where required by law.
Payments are securely processed through authorized third-party payment providers. ACapital does not store customers’ full payment card information.
We reserve the right to modify pricing at any time. Any price changes will apply only to future purchases or subscription renewals unless otherwise required by applicable law.
Failure to complete payment may result in suspension or termination of access to the purchased Services.

11. Subscription Services
Certain Services are provided through recurring subscription plans (“Memberships”).
Subscription benefits may include access to:

  • educational webinars;
  • members-only communities;
  • educational market analysis;
  • live educational sessions;
  • digital publications;
  • educational tools;
  • learning resources.
Subscription details, pricing, billing frequency, and included features are displayed on the relevant product page.
Access remains available only while the subscription is active.

12. Automatic Renewal
Unless cancelled before the renewal date, recurring subscriptions automatically renew at the end of each billing period.
By purchasing a recurring subscription, you authorize the applicable payment provider to charge your selected payment method for future renewal periods.
You may cancel automatic renewal at any time before the next billing cycle.
Cancellation prevents future charges but does not affect access already paid for during the current subscription period.

13. Subscription Upgrades and Changes
Customers may upgrade their subscription plans where such options are available.
When upgrading:
  • remaining subscription value may be credited toward the new plan;
  • additional charges may apply depending on the selected plan;
  • new benefits become available after successful payment.
Upgrade rules may vary depending on promotional offers or special campaigns.

14. Refund Policy
Customer satisfaction is important to us.
Refund requests are governed by our separate Refund Policy, which forms part of these Terms.
Unless otherwise required by applicable law:
Membership Subscriptions
Customers may request a refund within ten (10) calendar days following the initial purchase of a Membership subscription.
Become a Master Educational Programs
Customers may request a refund within fourteen (14) calendar days following the initial purchase of a Become a Master educational program.
Refund eligibility, conditions, exclusions, and procedures are described in the Refund Policy.
ACapital reserves the right to deny refund requests submitted outside the applicable refund period or where abuse of the refund policy is reasonably suspected.

15. Intellectual Property
All content available through the Services is protected by copyright, trademark, database rights, and other intellectual property laws.
This includes, without limitation:
  • educational courses;
  • video lessons;
  • webinars;
  • presentations;
  • written materials;
  • market analysis examples;
  • educational chart annotations;
  • graphics;
  • software;
  • Telegram content;
  • publications;
  • branding;
  • logos;
  • website design.
All intellectual property rights remain the exclusive property of ACapital or its licensors.
No ownership rights are transferred to users.

16. License to Use the Services
Subject to these Terms, ACapital grants users a limited, non-exclusive, non-transferable, revocable license to access and use purchased educational content solely for their personal, non-commercial use.
This license does not permit users to:
  • copy materials;
  • reproduce content;
  • redistribute content;
  • publish materials;
  • record webinars for redistribution;
  • sell educational materials;
  • sublicense access;
  • modify educational content;
  • create derivative works;
  • use the Services for commercial training purposes.
Any unauthorized use automatically terminates this license.

17. Community Rules
Users participating in private communities, educational groups, webinars, or discussion platforms agree to behave respectfully toward other members.
Users may not:
  • harass other participants;
  • publish offensive content;
  • spam communities;
  • impersonate other users;
  • disrupt educational activities;
  • post unlawful content;
  • distribute malware;
  • promote competing services without authorization.
ACapital reserves the right to remove any content or suspend community access at its sole discretion.

18. Account Sharing
Each subscription is intended for use by a single individual.
Users may not:
  • share login credentials;
  • share Telegram access;
  • provide third parties with access to purchased materials;
  • distribute educational resources obtained through the Services.
Where unauthorized account sharing is detected, ACapital may immediately suspend or terminate access without refund.

19. Acceptable Use
Users agree to use the Services only for lawful educational purposes.
Users may not:
  • attempt to reverse engineer software;
  • interfere with website security;
  • bypass access controls;
  • scrape or harvest content;
  • automate unauthorized downloads;
  • misuse the Services in violation of applicable laws.
Violation of this section may result in immediate suspension or permanent termination of access.

20. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, ACapital disclaims all warranties, express or implied, including but not limited to warranties of:
  • merchantability;
  • fitness for a particular purpose;
  • uninterrupted availability;
  • accuracy;
  • completeness;
  • reliability;
  • non-infringement.
We do not guarantee that:
  • the Services will always be available;
  • the Services will be free from errors or interruptions;
  • educational materials will meet every user’s expectations;
  • educational content will remain unchanged over time.
Financial markets continuously evolve, and educational materials may become outdated as market conditions change.

21. Limitation of Liability
To the fullest extent permitted by applicable law, ACapital, its owners, employees, instructors, affiliates, contractors, licensors, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:
  • use of the Services;
  • inability to access the Services;
  • reliance on educational content;
  • financial losses;
  • trading losses;
  • investment decisions;
  • interruption of business;
  • loss of profits;
  • loss of data;
  • system failures;
  • third-party services.
Users acknowledge that participation in financial markets involves substantial risk and that all financial decisions are made independently.
If liability cannot be excluded under applicable law, our total aggregate liability shall not exceed the amount paid by the customer for the applicable Service during the twelve (12) months preceding the claim.

22. User Responsibility
Users acknowledge and agree that:
  • they are solely responsible for their own financial decisions;
  • they independently evaluate all educational content;
  • they assume all risks associated with trading or investing;
  • they understand that financial markets involve substantial uncertainty;
  • they use the Services entirely at their own discretion.
No educational material provided by ACapital relieves users of their obligation to conduct their own independent analysis.

23. Third-Party Services
Certain Services may rely on third-party providers, including but not limited to:
  • Telegram;
  • TradingView;
  • payment processors;
  • email service providers;
  • video hosting platforms;
  • learning management systems;
  • cloud hosting providers.
ACapital is not responsible for:
  • interruptions of third-party services;
  • changes to third-party platforms;
  • third-party policies;
  • outages beyond our control.
Use of third-party platforms is governed by their respective terms and privacy policies.

24. Suspension and Termination
ACapital reserves the right to suspend or terminate access to the Services immediately if a user:
  • violates these Terms;
  • shares account credentials;
  • redistributes educational materials;
  • infringes intellectual property rights;
  • engages in fraudulent activity;
  • abuses refund policies;
  • attempts to interfere with the Services.
Termination does not affect any rights or obligations accrued before termination.

25. Force Majeure
ACapital shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to:
  • natural disasters;
  • war;
  • terrorism;
  • governmental actions;
  • internet outages;
  • cyberattacks;
  • labor disputes;
  • failures of telecommunications networks;
  • failures of payment providers;
  • failures of hosting providers.
26. Changes to the Services
We continuously improve our educational platform.
Accordingly, ACapital may:
  • add new features;
  • modify existing Services;
  • discontinue certain Services;
  • update educational materials;
  • improve platform functionality.
Such changes do not constitute a breach of these Terms.

27. Changes to These Terms
We may revise these Terms from time to time.
Updated versions will become effective upon publication on our website unless otherwise required by applicable law.
Continued use of the Services after revised Terms become effective constitutes acceptance of those revisions.

28. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Armenia, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Armenia, unless mandatory consumer protection laws provide otherwise.

29. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

30. Entire Agreement
These Terms, together with the following documents:
  • Privacy Policy;
  • Refund Policy;
  • Risk Disclosure;
  • Educational Disclaimer;
  • Cookie Policy;
constitute the entire agreement between ACapital and the user regarding the Services.
They supersede all previous agreements, understandings, and communications relating to the Services.
